Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AI Applied Ltd, trading as Idonara ("Company", "we", "our", or "us"), governing your access to and use of the Idonara platform and services.

By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services.

Definitions

• "Platform" refers to the Idonara recruitment software, including all features, tools, and services.
• "User" refers to any individual who accesses or uses the Platform, including Candidates, Recruiters, and Administrators.
• "Candidate" refers to individuals seeking employment opportunities through the Platform.
• "Organisation" refers to companies, government bodies, or entities using the Platform for recruitment purposes.
• "Content" refers to any data, text, documents, images, or materials uploaded to or generated by the Platform.

User Accounts

Account Registration

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breaches

Account Types

• Candidate Accounts: For individuals seeking employment opportunities
• Recruiter Accounts: For professionals managing recruitment on behalf of Organisations
• Administrator Accounts: For Organisation administrators with elevated privileges

Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Upload false, misleading, or fraudulent information
• Impersonate any person or entity or misrepresent your affiliation
• Harvest or collect information about other users without consent
• Interfere with or disrupt the Platform's operation or security
• Attempt to gain unauthorized access to any systems or networks
• Use the Platform for any discriminatory purposes prohibited by law
• Transmit viruses, malware, or other harmful code
• Engage in any activity that could damage, disable, or impair the Platform

Prohibited Content

You may not upload, post, or transmit any content that:

• Is unlawful, harmful, threatening, abusive, or defamatory
• Infringes upon intellectual property rights of others
• Contains personally identifiable information of others without consent
• Discriminates based on protected characteristics (race, gender, age, disability, etc.)
• Contains false or misleading employment information
• Violates any applicable employment or recruitment laws

Automated Assessment Services

Our Platform utilizes artificial intelligence to provide various services. You acknowledge and agree that:

• AI-generated assessments and recommendations are advisory in nature
• Final hiring decisions must be made by qualified human professionals
• AI outputs may contain errors or inaccuracies and should be verified
• We continuously work to minimize bias in our AI systems but cannot guarantee complete elimination
• You are responsible for ensuring AI-assisted decisions comply with applicable employment laws

Organisations using our AI features for recruitment decisions must ensure compliance with all applicable laws regarding automated decision-making, including providing appropriate disclosures to candidates and honoring requests for human review.

Intellectual Property

Platform Ownership

The Platform and its original content, features, and functionality are owned by AI Applied Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User Content

You retain ownership of content you upload to the Platform. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and display your content solely for the purpose of providing our services to you.

Feedback

Any feedback, suggestions, or ideas you provide regarding the Platform become our property, and we may use them without compensation or attribution.

Payment Terms

For Organisations subscribing to paid plans:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated
• We reserve the right to modify pricing with 30 days' notice
• Failure to pay may result in suspension or termination of services
• You are responsible for all applicable taxes

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Platform is provided "as is" without warranties of any kind
• We do not guarantee the accuracy, completeness, or reliability of any content
• We are not responsible for hiring decisions made using the Platform
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, or consequential damages

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification

You agree to indemnify, defend, and hold harmless AI Applied Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Violation of applicable laws or regulations
• Conduct that we believe is harmful to other users or our interests
• Extended periods of inactivity

Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be:

• First attempted to be resolved through good-faith negotiation
• If unresolved after 30 days, submitted to binding arbitration
• Arbitration shall be conducted in London, United Kingdom
• The arbitration shall be conducted in English under LCIA rules

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified at least 30 days before taking effect. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
